The state fee for starting a company and making any amendments to company details in the Estonian Business Register is going to rise from 1 January 2022, based on the new State Fees Act passed by the Estonian Parliament on 22 November 2021. This is contrary to our own recommendations to instead reduce the state fees for e-services, including the online formation of an Estonian limited company. The fees do remain relatively low by international standards but we just want to give a quick overview of the changes.
State fees in 2021
The state fee for expedited online registration of a private limited company (osaühing) will increase from 190 euros to 265 euros. This also applies to the expedited company formation service in Estonia that Unicount offers via Business Register API. Unicount formation service also includes 25 euro API fee charged by the Business Register, so the total price will be 290 euros (currently 215 euros). In expedited procedure, your online application for Estonian company registration is reviewed not later than during the next working day after the submission date.
The state fee for registering a private limited company (osaühing) via notary or online without expedited process will increase from 145 euros to 200 euros. In standard procedure your application for Estonian company registration is reviewed not later than during the next 5 working days after the submission date.
The state fee for an amendment entry increases from 18 euros to 25 euros. This includes the standard procedures such as change of company name, board members, registering or increasing capital etc.
Register a company by 31 December
