As we move into 2025, it’s time for all Estonian companies to prepare for the annual report submission deadline on 30 June 2025. Whether your company is active or dormant, submitting your annual accounts on time is a legal obligation under Estonian law. Missing the deadline may result in fines, deletion from the Estonian Business Register, and even affect your Estonian e-Residency status.
Which Companies Must Submit an Annual Report?
If your company was registered on or before 30 June 2024, you must submit the 2024 annual report by the end of June this year in 2025. Additionally, companies with overdue reports for 2023 or earlier years must also file these outstanding reports together with the 2024 report to avoid penalties.
This applies to all companies, even if you had no sales, clients, or expenses during the financial year. A dormant company still needs to submit an annual report stating its inactivity. The report will typically include a Profit & Loss Statement, Balance Sheet, and a short Management Report.
If you miss previous submissions, this is the year to get fully compliant and avoid risking the future of your company.
What Happens If You Don’t Submit Your Annual Report?
Failing to submit your annual report on time is more than just a missed deadline—it comes with serious consequences:
- Fines ranging from €200 to €3,000 may be issued by the Estonian court depending on how late your submission is.
- Your company can be deleted from the Estonian Business Register automatically, losing its legal standing.
- If you are an e-resident, you risk complications when renewing your e-Residency card, as non-compliance is checked during the renewal process.
- Recovering a deleted company is complicated and costly.
The safest and smartest move is to prepare your annual report early and avoid all these risks.
