If you can register a domain name for your company in a few minutes then why not your company too?<\/p>\n\n\n\n<p>That\u2019s why <a href=\"https:\/\/unicount.eu\/\">Unicount<\/a> was created. Unicount is the simplest way to register an Estonian company. It\u2019s also the simplest way to start a paperless EU company from anywhere in the world. It takes just five minutes. Unicount is used by citizens and residents of Estonia, but also a growing number of people around the world because all you need is an Estonian digital ID, which can be obtained by citizens of other countries living outside Estonia through <a href=\"https:\/\/unicount.eu\/en\/estonian-e-residency\/\">e-Residency<\/a>.<\/p>\n\n\n\n<!--more-->\n\n\n\n<p>And if you already have a company then you can still use Unicount to subscribe to <a href=\"https:\/\/unicount.eu\/virtual-office-estonia\/\">a virtual office in Estonia<\/a> or <a href=\"https:\/\/unicount.eu\/en\/contact-person-service\/\">contact person service<\/a>. You can read more about <a href=\"https:\/\/unicount.eu\/en\/how-unicount-virtual-office-service-works\/\">how virtual office service works<\/a>.<\/p>\n\n\n\n<p>So here\u2019s a guide for how to establish a paperless EU company through Unicount.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"what-is-unicount\"><strong>What is Unicount?<\/strong><\/h3>\n\n\n\n<p>Unicount provides company creation via the Estonian Business Register\u2019s API, as well as a virtual office and <a href=\"https:\/\/unicount.eu\/en\/accounting-in-estonia\/\">accounting<\/a> with tips and support for managing a company in Estonia. You are welcome to use <a href=\"https:\/\/ariregister.rik.ee\/eng\">the state\u2019s e-Business Register<\/a> if you choose, but Unicount offers everything you need to complete the process including more guidance, more services, and less hassle.<\/p>\n\n\n\n<p>Ingmar Vali, the Head of the Court Registers department at Estonia\u2019s Centre of Registers and Information Systems, explains: \u201cWe developed this API to give service providers an opportunity to develop a better user experience by combining public and private services.\u201d One of the best samples of it is that Unicount has made company formation available in 7 languages compared to the 2 (Estonian and English) that government offers.<\/p>\n\n\n\n<p>We\u2019re entrepreneurs here ourselves at Unicount and we\u2019ve created many Estonian companies already between us so we know how tricky it can be sometimes. We also love good user experience and never stop working on ways to improve it.<\/p>\n\n\n\n<p>The only notable limitation of the API is that Unicount is for establishing a company with one founder who is a real physical person founder. If you\u2019d like to have multiple founders or a subsidiary of an existing legal entity in Estonia then you will need to either use the e-Business Register, find a notary, or <a href=\"https:\/\/unicount.eu\/add-shareholder-estonian-company\/\">add additional shareholders afterwards<\/a>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"registering-a-paperless-eu-company-through-unicount\"><strong>Registering a paperless EU company through Unicount<\/strong><\/h3>\n\n\n\n<p>You must be a citizen, resident or e-resident of Estonia in order to use the Unicount company formation service. That\u2019s because you need an Estonian personal identification code (known as an &#8216;isikukood&#8217;), as well as your digital ID for access and signing. Unicount is compatible with all Estonian digital ID cards (such as those held by citizens, residents and e-residents), as well as Estonian Mobile-ID and <a href=\"https:\/\/unicount.eu\/en\/smart-id-estonian-company-formation\/\">Smart-ID<\/a>.<\/p>\n\n\n<p><iframe width=\"560\" height=\"315\" src=\"https:\/\/www.youtube.com\/embed\/vB4m-X54kDg?si=1ISmBKGScri2QJBq\" title=\"YouTube video player\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture; web-share\" allowfullscreen><\/iframe><\/p>\n\n\n<p>To get started, visit <a href=\"https:\/\/app.unicount.eu\/\" target=\"_blank\" rel=\"noreferrer noopener\">Unicount.eu<\/a>. You&#8217;ll find self-service available in English, Estonian, French, Spanish, German, Turkish and Russian. You\u2019ll first see this search box where you can check if your company name is available or too similar to Estonian companies and trademarks already registered in the EU.<\/p>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"587\" data-src=\"https:\/\/unicount.eu\/wp-content\/uploads\/2021\/11\/Adam0-1024x587.jpg\" alt=\"\" class=\"wp-image-5707 lazyload\" data-srcset=\"https:\/\/unicount.eu\/wp-content\/uploads\/2021\/11\/Adam0-1024x587.jpg 1024w, https:\/\/unicount.eu\/wp-content\/uploads\/2021\/11\/Adam0-300x172.jpg 300w, https:\/\/unicount.eu\/wp-content\/uploads\/2021\/11\/Adam0-768x440.jpg 768w, https:\/\/unicount.eu\/wp-content\/uploads\/2021\/11\/Adam0.jpg 1271w\" data-sizes=\"(max-width: 1024px) 100vw, 1024px\" src=\"data:image\/gif;base64,R0lGODlhAQABAAAAACH5BAEKAAEALAAAAAABAAEAAAICTAEAOw==\" style=\"--smush-placeholder-width: 1024px; --smush-placeholder-aspect-ratio: 1024\/587;\" \/><\/figure>\n\n\n\n<p>The total cost of registering a company through Unicount is \u20ac290, which includes the \u20ac265 state fee and \u20ac25 Business Register API fee. Unicount makes no money on your formation because this is exactly what it costs us to use the API &#8211; but we think it\u2019s worth it for a simple, quick, and smooth company setup &#8211; and then we cover payment <a href=\"https:\/\/support.unicount.eu\/en\/articles\/2939025-how-can-i-pay-for-the-company-formation-fee\">processing fees<\/a> ourselves.<\/p>\n\n\n\n<p>Your company name must be written in the Latin alphabet and contain no special characters. As an example, I\u2019m going to start my own company selling apples. So I want to call it Adam\u2019s Apples.<\/p>\n\n\n\n<p>In Estonia, a limited company is known as an O\u00dc so you&#8217;ll see those legal letters at the end of your company name,  which is the equivalent to &#8216;LTD&#8217; in many other countries.<\/p>\n\n\n\n<p>I entered my preferred name into the box and discovered that no one else is using that name, although there are some companies with similar names. In this case, a clerk in the Court Registers department would need to rule about whether there is likely to be confusion between your chosen name and the names of any companies or trademarks that already exist. If the name does get rejected then you can apply again through Unicount using a different name at no extra cost.<\/p>\n\n\n\n<figure class=\"wp-block-image\"><img decoding=\"async\" data-src=\"https:\/\/lh5.googleusercontent.com\/ghG2yvWN61yyoNsvMhtWeFTF5ZRrs5DJG82BSrQNTp1GLqbO6NSo8KPYU9-gT1OuVqJPck2kj6puGr6w9LUNlisnXVbQ3U8Qgh1FPe_7-jTBxNrCE8tSzAsRDJXaX6awSmfUsNmz\" alt=\"\" src=\"data:image\/gif;base64,R0lGODlhAQABAAAAACH5BAEKAAEALAAAAAABAAEAAAICTAEAOw==\" class=\"lazyload\" \/><\/figure>\n\n\n\n<p>I could start my search again, but I\u2019ve decided that there is no reasonable cause for confusion here with the other companies listed. So I\u2019ve clicked on \u2018try to register this name anyway\u2019.<\/p>\n\n\n\n<p>By the way, you can see in the bottom right corner that there\u2019s an option for live chat. We\u2019re available there every weekday if you need any extra help through this process.<\/p>\n\n\n\n<p>The next step requires you to authenticate yourself using your Estonian digital ID.&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-image\"><img decoding=\"async\" data-src=\"https:\/\/lh6.googleusercontent.com\/oZP-XVED4DjqMEFP_49mg_D6J4_ue_35r9-i2HTRLdnvBTiO9-uBukL-uajfx6ugZVDs-v4eMn8JYB7F3fCCWWLMGdAFbvcqPeWBhJnjna5fjFUk4yGQ7eT3rY4Cz03799jzxuWw\" alt=\"\" src=\"data:image\/gif;base64,R0lGODlhAQABAAAAACH5BAEKAAEALAAAAAABAAEAAAICTAEAOw==\" class=\"lazyload\" \/><\/figure>\n\n\n\n<p>You can choose your ID card, your Mobile-ID or your Smart-ID. If you\u2019ve never tried Smart-ID then <a href=\"https:\/\/unicount.eu\/heres-why-e-residents-are-signing-up-for-smart-id\/\">here\u2019s why e-residents are signing up for Smart-ID<\/a>. Authenticating your identity online requires you to enter PIN1 with any of these methods.<\/p>\n\n\n\n<p>On the next screen, your name and personal identification code are already filled out, then you just need to add contact details and information about your citizenship and residence.<\/p>\n\n\n\n<figure class=\"wp-block-image\"><img decoding=\"async\" data-src=\"https:\/\/lh4.googleusercontent.com\/PvvNuI4SjjrsdlyPFK9eC_bVUSzrBaUa59bPdz660GXR8o7vkHi247j5zNIOkgOKlKM9U99DPBa8CkxphR-w-67AllqsQeKN7c5ZfX9B9fT4iMv2-48jWqvjYnEEXiiu-nMp675O\" alt=\"\" src=\"data:image\/gif;base64,R0lGODlhAQABAAAAACH5BAEKAAEALAAAAAABAAEAAAICTAEAOw==\" class=\"lazyload\" \/><\/figure>\n\n\n\n<p>For the purposes of this example, I\u2019m British and living in London.<\/p>\n\n\n\n<p>After this, I\u2019ll be taken to a screen where I have to fill out a few details about my new company. Again though, we don\u2019t take any more information than is absolutely necessary for the legal process.<\/p>\n\n\n\n<p>You\u2019ll need a field of activity code for your business so you can start by searching for that or picking from one of the most popular codes on the drop-down list. Just to the right, you\u2019ll also see your share capital contribution is set at our default level, which is \u20ac1. That\u2019s the amount you will need to pay into your company\u2019s bank account in return for your shares. You can go as low as 1 euro cent though or as high as 50 000 euros. If you go for the 1 cent you oughta know that the least shareholding per shareholder is 1 cent so you cannot add shareholders later without increasing your share capital. We have described everything you need to know about the <a href=\"https:\/\/unicount.eu\/en\/estonian-company-share-capital\/\">share capital of Estonian companies<\/a>.<\/p>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"594\" src=\"https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-1-1024x594.png\" alt=\"\" class=\"wp-image-15075\" srcset=\"https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-1-1024x594.png 1024w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-1-300x174.png 300w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-1-768x445.png 768w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-1.png 1318w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<p>You\u2019ll need to enter your company contact details too. Bear in mind that your company email address is not going to become publicly listed unless you tick the box &#8220;Disclose my company email to the register&#8221;. Every Estonian company needs a registered office address in Estonia or a licensed contact person if the address is not in Estonia and the aim is to be a tax resident of another country. Starting from 1 February 2023 it is possible to <a href=\"https:\/\/unicount.eu\/en\/how-unicount-works\/\">register an Estonian company to a foreign address<\/a>.<\/p>\n\n\n\n<p>All companies registered through Unicount use the same <a href=\"https:\/\/unicount.eu\/articles-of-association-estonian-company\/\">standard Articles of Association<\/a>, which is ideal for solo entrepreneurs. You can find and change that later in the Business Register if needed, such as changing share capital or shareholder rights.<\/p>\n\n\n\n<p>The next screen simply asks you to confirm all the details you\u2019ve entered so far.<\/p>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"643\" src=\"https:\/\/unicount.eu\/wp-content\/uploads\/2022\/09\/image-2-1024x643.png\" alt=\"\" class=\"wp-image-9859\" srcset=\"https:\/\/unicount.eu\/wp-content\/uploads\/2022\/09\/image-2-1024x643.png 1024w, https:\/\/unicount.eu\/wp-content\/uploads\/2022\/09\/image-2-300x188.png 300w, https:\/\/unicount.eu\/wp-content\/uploads\/2022\/09\/image-2-768x482.png 768w, https:\/\/unicount.eu\/wp-content\/uploads\/2022\/09\/image-2.png 1421w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<p>If you chose Unicount\u2019s virtual office then your registered company address will be<a href=\"https:\/\/www.google.com\/maps\/place\/\/data=!4m2!3m1!1s0x46929507ac39fd65:0xb9e6018804969b7f?sa=X&amp;ved=1t:8290&amp;ictx=111\"> Narva mnt 5, 10117 at in Tallinn.<\/a><\/p>\n\n\n\n<p>Next, you can use your digital ID to sign your application.<\/p>\n\n\n\n<figure class=\"wp-block-image\"><img decoding=\"async\" data-src=\"https:\/\/lh6.googleusercontent.com\/1g55TQxk3GvmDcCQxQp-9ln5p_LNKwdlMe_KU_MDp1p2Hfep8-Xug4Z4-1AfuiGWTyzxxa3iMZa9_V1da7nLvgbymYJ_nY-8oMqnHzdmmuY-izfwFWtSxof5I8ryGxgbDJtIYKlw\" alt=\"\" src=\"data:image\/gif;base64,R0lGODlhAQABAAAAACH5BAEKAAEALAAAAAABAAEAAAICTAEAOw==\" class=\"lazyload\" \/><\/figure>\n\n\n\n<p>Here, you can also download your full application, which contains your company\u2019s articles of association. You can open the downloaded container with the Estonian government&#8217;s  <a href=\"https:\/\/www.id.ee\/en\/article\/install-id-software\/\">DigiDoc softwar<\/a>e. Once you are happy with everything, click \u2018Sign application\u2019 then you can digitally sign it using your PIN2 for whichever method of digital identity you have chosen.<\/p>\n\n\n\n<p>The final step is simply to make your payment, which you can easily do via Stripe with Apple Pay, Google Pay and Mastercard, Visa, Amex, or UnionPay cards. If you have an Estonian, Latvian or Lithuanian bank account then you can also <a href=\"https:\/\/support.unicount.eu\/en\/articles\/2939025-how-can-i-pay-for-the-company-formation-fee\">use a bank link<\/a>. After your company is registered Unicount will issue you a tax invoice. When paying via card Unicount will ask for you to check your company card information before charging recurring annual virtual office fees so that these can be paid for by your company.<\/p>\n\n\n\n<figure class=\"wp-block-image size-large\"><img decoding=\"async\" width=\"1024\" height=\"758\" src=\"https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-2-1024x758.png\" alt=\"\" class=\"wp-image-15082\" srcset=\"https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-2-1024x758.png 1024w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-2-300x222.png 300w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-2-768x568.png 768w, https:\/\/unicount.eu\/wp-content\/uploads\/2023\/04\/image-2.png 1300w\" sizes=\"(max-width: 1024px) 100vw, 1024px\" \/><\/figure>\n\n\n\n<p>Done! And you can probably do all this in about the same time it took to read this article. You will get an immediate email confirmation that your company application has been submitted and we need some <a href=\"https:\/\/support.unicount.eu\/en\/articles\/6881312-how-to-submit-client-data\">Client Data<\/a> before we are allowed to provide you with the formation service. Then you will be notified again when the court has approved your application. This usually takes about one working day if you submit your Client Data right with your application.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"what-if-i-just-need-a-virtual-office\"><strong>What if I just need a virtual office?<\/strong><\/h3>\n\n\n\n<p>You may already have an Estonian company but want to switch to Unicount\u2019s virtual office service. That\u2019s often the case when e-residents no longer require accounting from their existing bundled service provider or simply because they want to save money on their virtual office bill. Some e-residents sign up for accounting straight away, but then discover their trading volumes are low enough to not need monthly accounting and that they could benefit more from a leaner approach in their early stages. Monthly VAT reporting in Estonia, for example, is only necessary after your company has more than \u20ac40,000 of taxable supplies in a calendar year.<\/p>\n\n\n\n<p>There\u2019s a separate process to subscribe only to a virtual office through Unicount at <a href=\"https:\/\/unicount.eu\/virtual-office-estonia\/\">Unicount.eu\/en\/virtual-office<\/a>. It\u2019s just as simple though.<\/p>\n\n\n\n<p>After that, you\u2019ll need to update your company\u2019s registered address and contact person in the Estonian Business Register. That\u2019s fine by us too if you don\u2019t need the additional support and want to save 25\u20ac for the API fee that Unicount has to charge for its quick online formation service. In fact, you\u2019ll need to use it anyway if you are keen to establish a company with multiple shareholders from the start.
