That date has passed. If you&#8217;re reading this because you missed it, the first thing to know is: <strong>this is fixable, and you are not alone.<\/strong> Every year, a significant share of Estonian O\u00dcs file after the deadline. The system is built to handle that, up to a point.<\/p>\n\n\n\n<p><strong>This article explains exactly what happens now, in what order, and what to do about it.<\/strong><\/p>\n\n\n\n<!--more-->\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-what-actually-happens-when-you-miss-the-deadline\"><strong>What actually happens when you miss the deadline<\/strong><\/h2>\n\n\n\n<p>Nothing happens the instant the clock strikes midnight on 1 July. There&#8217;s no automatic penalty, no frozen bank account, no company deletion overnight. What follows is a graduated process:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>The Business Register flags your company as non-compliant.<\/strong> Your company&#8217;s public record now shows an outstanding annual report. This is visible to anyone who looks up your company, including banks, payment providers, and business partners running due diligence.<\/li>\n\n\n\n<li><strong>A warning or demand is typically issued first.<\/strong> The Business Register (\u00c4riregister) generally sends a notice before moving to fines, giving you a window to file voluntarily.<\/li>\n\n\n\n<li><strong>Fines follow if the report still isn&#8217;t filed.<\/strong> Penalties in Estonia for late annual reports typically range from <strong>\u20ac200 to \u20ac3,200<\/strong>, and they can be imposed repeatedly, meaning the pressure increases the longer the report stays unfiled. Fines can be issued against the company <strong>and, separately, against board members personally<\/strong>. This applies even if the board member lives outside Estonia; e-resident status doesn&#8217;t exempt you.<\/li>\n\n\n\n<li><strong>Deletion proceedings can start early.<\/strong> This is the part most founders don&#8217;t realise: since the 2023 changes to the Business Register Act, compulsory deletion proceedings can begin <strong>as early as three months after the original deadline<\/strong> \u2014 so, for companies with a calendar financial year, from around the end of September 2026. This doesn&#8217;t mean your company disappears at that point, but it means the clock on a much more serious outcome is already running.<\/li>\n<\/ol>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-the-real-risk-compulsory-dissolution\"><strong>The real risk: compulsory dissolution<\/strong><\/h2>\n\n\n\n<p>If non-compliance continues, the Business Register can initiate compulsory dissolution, removing your company from the register entirely. For a dormant company you were planning to keep for future use, this is disruptive and embarrassing to reverse. For an active company with revenue, clients, and a bank account, it&#8217;s genuinely serious: a deleted company loses its legal capacity to operate.<\/p>\n\n\n\n<p>If your company has already been deleted, restoration is possible but not simple: it requires a <strong>court order<\/strong>, submission of all missing annual reports, and a <strong>\u20ac200 state fee<\/strong>, and must be requested within <strong>three years<\/strong> of deletion. It&#8217;s a real process, not a formality, another reason to act before reaching this stage rather than after.<\/p>\n\n\n\n<p>There&#8217;s a quieter cost, too, well before dissolution ever becomes relevant. An outstanding annual report is visible on your public company record. Banks, payment processors, and B2B clients running due diligence can see it, and an unresolved filing is the kind of detail that slows down a loan application, a new bank account, or a partner&#8217;s compliance check, even when your business itself is in good shape.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-what-doesn-t-happen-so-you-can-stop-worrying-about-the-wrong-thing\"><strong>What doesn&#8217;t happen (so you can stop worrying about the wrong thing)<\/strong><\/h2>\n\n\n\n<p><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your company is <strong>not<\/strong> automatically dissolved the day after the deadline.<\/li>\n\n\n\n<li>Your bank account is <strong>not<\/strong> automatically frozen (though prolonged non-compliance can eventually affect banking relationships).<\/li>\n<\/ul>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"h-what-to-do-right-now\"><strong>What to do right now<\/strong><\/h2>\n\n\n\n<p><strong>1. Confirm whether your company is dormant or active for the reporting year.<\/strong> This affects the scope of the report. Even a company with zero revenue can be classed as active if it has expenses, subscriptions, or other transactions. This is one of the most common points of confusion, and getting it wrong creates delays later.<\/p>\n\n\n\n<p><strong>2. Gather what you have, even if it&#8217;s incomplete.<\/strong> Bank statements for the full financial year, any invoices or receipts, payroll records if relevant, and details of loans or capital changes. Missing a document or two isn&#8217;t a reason to wait; flag the gaps and keep moving.<\/p>\n\n\n\n<p><strong>3. The single most effective move at this stage isn&#8217;t to find a shortcut or to wait for a quieter month.
