These laws regulate how Estonian limited companies (O\u00dc) can be dissolved and deleted.<\/p>\n<p data-start=\"810\" data-end=\"1088\">The reforms introduced new flexibility, especially for e-resident founders who no longer need to appoint a local liquidator. Dormant companies that never began operations can now be deleted from the Business Register without going through the full liquidation process.<\/p>\n<blockquote>\n<p data-start=\"1090\" data-end=\"1210\"><strong>However, while this may sound simple on the surface, we strongly advise against attempting this process on your own.<\/strong><\/p>\n<\/blockquote>\n<p><!--more--><\/p>\n<h2>Why you shouldn\u2019t close your company yourself?<\/h2>\n<p data-start=\"1268\" data-end=\"1411\">Yes, the law now allows company deletion under certain conditions. But interpreting and proving compliance with those conditions can be tricky.<\/p>\n<p>This is how it is written in the Commercial Register Act.<\/p>\n<blockquote>\n<p style=\"text-align: left;\"><strong>\u00a7 63. Deletion based on petition<\/strong><br \/>A private limited company may apply to the registrar for its deletion from the register if the private limited company has not commenced activities and it is confirmed by all members of the management board and all shareholders.<\/p>\n<\/blockquote>\n<p data-start=\"1413\" data-end=\"1623\">The law states that companies can apply for deletion if they have <em data-start=\"1492\" data-end=\"1521\">\u201cnot commenced activities.\u201d<\/em> What does that mean? There\u2019s no official definition of &#8220;dormant&#8221; in Estonian law. <strong>It typically means<\/strong>:<\/p>\n<ul data-start=\"1624\" data-end=\"1789\">\n<li data-start=\"1624\" data-end=\"1650\">\n<p data-start=\"1626\" data-end=\"1650\">No business bank account<\/p>\n<\/li>\n<li data-start=\"1651\" data-end=\"1674\">\n<p data-start=\"1653\" data-end=\"1674\">No income or expenses<\/p>\n<\/li>\n<li data-start=\"1675\" data-end=\"1701\">\n<p data-start=\"1677\" data-end=\"1701\">No assets or liabilities<\/p>\n<\/li>\n<li data-start=\"1702\" data-end=\"1732\">\n<p data-start=\"1704\" data-end=\"1732\">No shares in other companies<\/p>\n<\/li>\n<li data-start=\"1733\" data-end=\"1789\">\n<p data-start=\"1735\" data-end=\"1789\">No real estate, vessels, or publicly traded securities<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1791\" data-end=\"1945\"><strong>But if any of these assumptions are misjudged, your application could be delayed or rejected. Under the main company tab, there is an option to \u201cDelete legal person.\u201d<\/p>\n<p data-start=\"3473\" data-end=\"3659\">However, all board members and shareholders must sign the application digitally, and the process still involves a three-month waiting period and checks by the court and various agencies.<\/p>\n<h3 style=\"text-align: center;\" data-start=\"3661\" data-end=\"3841\"><strong>Even a minor oversight \u2014 such as unfiled annual reports or unpaid fines \u2014 could lead to rejection.
